bettermoo(d) Announces Upsize of Non-Brokered Private Placement from $500,000 to $1,500,000

Vancouver, British Columbia, Canada – December 13, 2023 – bettermoo(d) Food Corporation (CSE: MOOO), (OTCQB: MOOOF), (Frankfurt: 0I5A, WKN: A3D8PP) (the “Company” or “bettermoo(d) Food”), is pleased to announce that it has increased the size of its non-brokered private placement (the “Financing”), initially announced by the Company on December 11, 2023.  

As a result of the increased Financing, the Company now intends to issue up to 797,872 units of the Company (each, a “Unit”) at a price of $1.88 per Unit, for gross proceeds of up to $1,500,000.  Each Unit will consist of one common share (each, a “Share”) of the Company and one common share purchase warrant (each, a “Warrant”).  Each Warrant will entitle the holder, on exercise, to purchase one additional Share for a period of five years following the closing date of the Financing at the exercise price of $2.21 per Share.

The Company intends to utilize the proceeds of the Financing to support its existing operations, projects and for general working capital purposes.

The Company will issue common shares equal to 2.0% of the number of Units issued in the Financing (“Admin Fee Shares”) to Amalfi Corporate Services Ltd. (“Amalfi”) as an administrative fee for Amalfi’s assistance with the Offering.  Amalfi is a private company controlled by Geoff Balderson, CFO, corporate secretary and a director of the Company, and the issuance of Admin Fee Shares to Amalfi is considered to be a “related party transaction” as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Company intends to rely on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, as the fair market value of the issuance of the Admin Fee Shares issued to Amalfi will not exceed twenty-five percent (25%) of the market capitalization of the Company, as determined in accordance with MI 61-101. 

The Company does not anticipate paying any finder’s fees related to the Financing.  Closing of the Financing remains subject to certain conditions including, but not limited to, receipt of all necessary regulatory approvals.  Pursuant to applicable securities laws, all securities issued under the Financing will be subject to a statutory hold period of four months and one day.

The securities to be issued pursuant to the Financing have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons in the absence of U.S. registration or an applicable exemption from the U.S. registration requirements.
